Hype Sponsors – Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Hype Sponsors platform, website, and related services (collectively, the "Platform"), operated by Peak Ascent, Inc. ("Hype Sponsors," "we," "us," or "our"). By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, you may not use the Platform.

1. Overview of the Platform

Hype Sponsors is a marketplace and introduction platform designed to connect brands, advertisers, and businesses ("Brands") with fraternities, sororities, and student organizations ("Organizations") for potential sponsorships, partnerships, event activations, marketing collaborations, and related opportunities. Hype Sponsors facilitates introductions, discovery, communication, and opportunity flow, but is not a party to any agreement entered into between Brands and Organizations.

2. Eligibility and Accounts

You must be at least 18 years old and have the authority to bind the entity you represent to use the Platform. By creating an account, you represent that all information provided is accurate, current, and complete, and you agree to keep it updated.

Each user is responsible for maintaining the confidentiality of their login credentials and for all activity that occurs under their account.

3. Role of Hype Sponsors

Hype Sponsors provides a managed and/or self-serve platform for discovery, introductions, and opportunity facilitation only. Hype Sponsors does not guarantee, promise, warrant, or represent that:

• Any Brand or Organization will receive sponsorships, partnerships, or offers
• Any introduction will result in a deal, agreement, or collaboration
• Any minimum number of opportunities, leads, meetings, or conversions will occur
• Any specific revenue, exposure, performance, or financial outcome will be achieved

All negotiations, contracts, payments, deliverables, compliance obligations, and execution of sponsorships occur solely and directly between Brands and Organizations, unless otherwise expressly stated in a written agreement signed by Hype Sponsors.

4. Fees and Payments

Certain features or services may require payment, including but not limited to subscriptions, managed services, referral fees, or performance-based fees. All fees will be disclosed prior to purchase.

Unless otherwise stated, all fees are non-refundable.

5. Non-Circumvention

5.1 Non-Circumvention Obligation

By using the Platform, Brands and Organizations agree not to circumvent Hype Sponsors by engaging in off-platform solicitation, communication, or contracting with one another for opportunities that were:

• Introduced through the Platform
• Discovered via the Platform
• Facilitated, directly or indirectly, by Hype Sponsors

Circumvention includes, but is not limited to:

• Moving communications to personal email, text, social media DMs, or other platforms for the purpose of avoiding Platform fees or tracking
• Entering into sponsorships, partnerships, or agreements outside the Platform that originated from a Platform introduction
• Referring or redirecting counterparties to third-party platforms or intermediaries to avoid Hype Sponsors

5.2 Duration

The non-circumvention obligation applies during the term of your account and for twelve (12) months following the last interaction, introduction, or communication facilitated by the Platform.

5.3 Permitted Communications

Users may communicate off-platform only if:

• The interaction is fully disclosed to Hype Sponsors when required
• Applicable Platform fees are honored
• The communication is not intended to bypass Platform services or compensation

5.4 Remedies

Violation of this Non-Circumvention clause may result in:

• Immediate account suspension or termination
• Liquidated damages of $2,500 per account and per occurrence for any Brand or Organization that solicits, contracts, or transacts off the Platform for an opportunity originating from Hype Sponsors, regardless of whether a sponsorship ultimately closes
• Injunctive relief and recovery of reasonable attorneys' fees

6. Prohibited Conduct

You agree not to:

• Misrepresent your identity, authority, or affiliation
• Use the Platform for unlawful, deceptive, or unethical purposes
• Scrape, harvest, or misuse contact data
• Spam or excessively solicit users
• Bypass, disable, or interfere with Platform functionality
• Engage in conduct that harms Hype Sponsors' reputation or relationships
• Violate any applicable laws, regulations, university policies, or organizational rules, including alcohol, event, and safety regulations

7. Intellectual Property

All Platform content, branding, software, databases, and materials are owned by Hype Sponsors or its licensors and are protected by intellectual property laws. You may not copy, distribute, or exploit Platform materials without prior written consent.

8. Data and Privacy

Use of the Platform is subject to our Privacy Policy. You acknowledge that contact data and organizational information provided on the Platform is made available solely for legitimate sponsorship and collaboration purposes.

8A. Alcohol-Related Sponsorships and Events

8A.1 Age Requirement

Any sponsorship, promotion, or activation involving alcohol brands or alcoholic beverages must be coordinated and executed solely through a representative who is at least twenty-one (21) years of age and who has the legal authority to act on behalf of the Brand or Organization.

8A.2 Compliance Responsibility

Brands and Organizations are solely responsible for ensuring compliance with all applicable federal, state, local, university, and organizational laws and policies relating to alcohol service, promotion, marketing, and consumption.

8A.3 No Control Over Events

Hype Sponsors does not organize, host, supervise, control, or manage any event, party, activation, or gathering associated with a sponsorship. Hype Sponsors has no control over attendee behavior, alcohol consumption, crowd management, security, or safety measures.

8A.4 Assumption of Risk and Liability Waiver

Brands and Organizations acknowledge and agree that Hype Sponsors shall not be liable for any injuries, damages, losses, citations, penalties, or claims arising out of or related to:

• Underage drinking
• Alcohol service or consumption
• Personal injury, property damage, or death
• University or organizational disciplinary action
• Third-party misconduct at sponsored events

All risks associated with sponsored events are assumed solely by the Brand and Organization involved.

9. Termination

We may suspend or terminate your access at any time for violation of these Terms, suspected misconduct, or risk to the Platform or its users. Upon termination, all obligations that by nature should survive (including Non-Circumvention) shall survive.

10. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE." HYPE SPONSORS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HYPE SPONSORS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR SPECIAL DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID TO HYPE SPONSORS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless Hype Sponsors from any claims, damages, losses, or expenses arising out of your use of the Platform, your agreements with other users, or your violation of these Terms.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes shall be resolved exclusively in the state or federal courts located in Delaware.

14. Modifications

We may update these Terms from time to time. Continued use of the Platform after changes constitutes acceptance of the updated Terms.
